Global Mergers & Acquisitions of Indian BioPharma:
The past decade has seen changes of tectonic proportions in the global pharmaceutical industry!

Generic drugs , once perceived as serious threats to global pharmaceutical companies are now considered part of the solution to the declining revenues generated from innovator drugs. Emerging markets such China and India and others in developing countries have become the focus for future revenue growth while the US healthcare system changes to cut costs will produce less revenue from what appears to be minimal growth from Western markets in the US and Europe.

Globally, the share of drug spending will shift markedly, too. The U.S.'s share of global drug sales will drop to 31 percent in 2015, down from 41 percent in 2005. The top five European countries, which accounted for 20 percent of spending in 2005, will make up only 13 percent. But the 17 "pharmerging markets," led by China, will account for 28 percent of total spending by 2015, up from 12 percent in 2005. In other words, those emerging markets will surpass the top five Euro-markets--and will be hot on the heels of the U.S

Part of the arsenal pharmaceutical companies rely on are strategic mergers and acquisition to gain entry into the red-hot generics market. However, during the past decade when large pharmaceutical companies have pursued an aggressive strategy of mergers and acquisition in an effort to grow their businesses, an analysis from Burrill & Company suggests the approach has been a failure as these companies have seen the loss of $1 trillion in value during the past decade.

India is uniquely positioned in this so-called new age pharmaceutical industry. Apart from a large ever expanding domestic market, India has lead the world in generic drugs production supplying even the most regulated markets in the US and Europe. India leads the world in the number of US FDA approved manufacturing plants, a tribute to the Indian pharma companies many of which now want climb up the value chain away from APIs and bulk drugs.

In the past few years, there has been a series of high-profile foreign takeovers of Indian pharma firms. Among others, Daiichi Sankyo bought Ranbaxy, Abbott bought Piramal Healthcare Solutions, and Sanofi bought Shantha Biotech. Members of the civil society believe that the acquisition of large and medium Indian pharmaceutical companies by MNCs will make the use of TRIPS flexibilities redundant.

These series of high profile pharmaceutical M&As in India have caused alarm it seems and stirred up a “hornet’s nest” with various stakeholders in the pharmaceutical business.

Economic Times as recently as May 23rd-2011 cited a reference with regards to FDI curbs being discussed to stop the 100% fast-track mergers & acquisitions now in place with pharmaceutical investments:

Comments made by Srikant Jena , the minister of state for chemicals and fertilisers, who oversees the pharmaceutical sector, include:
“There is an apprehension mainly among small drug makers that the 100% automatic FDI route allows global MNCs to acquire Indian firms. If the trend continues, this may lead to a monopoly situation leading to increase in prices of medicines. Affordability of medicines is a matter of concern for the government and when the situation arises, government will intervene. Most importantly, we need to examine whether the apprehension is genuine or not."
